OCALA, Fla.--(BUSINESS WIRE)--Turning Wheel Holdings, Inc. (www.turningwheelrv.com), one of the largest recreational vehicle (“RV”) dealerships in the Southeast, announced today that it completed a merger transaction with Past & Present Video, Inc. (”PPVI”). The transaction was completed as a reverse merger in which Turning Wheel became a wholly-owned subsidiary of PPVI and the shareholders of Turning Wheel acquired a 97.5% interest in PPVI on a fully diluted basis (including shares reserved for issuance upon conversion or exercise of existing Turning Wheel preferred stock and warrants). Immediately prior to the transaction, PPVI completed a 1-for-5 reverse stock split and changed its name to Turning Wheel Holdings, Inc. The existing PPVI shareholders retained 354,800 shares of post-split common stock. The new stock symbol, TWHI, reflects the new name of the company and its shares of common stock on a post-split basis.

Turning Wheel has experienced significant growth in recent years and believes that the attractive long-term demographics of the RV industry make this an excellent time to seek further expansion. Commenting on the reverse merger, Marco Martinez, President of Turning Wheel, stated “we are truly excited about becoming a public company and believe this is an integral step in our growth strategy. As a public company, Turning Wheel should be able to greatly accelerate its growth strategy with wider access to the capital markets and the ability to offer its stock to RV dealerships as currency to fund acquisitions. While we will initially be listed on the Pink Sheets, it is our intention to move to the OTC Bulletin Board and become a fully reporting company later this year.”
